Pursuant to the arrangement, the previous holders of Gentry’s common shares are entitled to receive, for each outstanding common share of Gentry held by them, 0.22 of a common share of Crew. After giving effect to the arrangement, Crew has approximately 71.2 million common shares outstanding.
Letters of transmittal have been forwarded to shareholders of Gentry to be utilized in order to exchange their common shares of Gentry, for common shares of Crew.
