The shareholders have approved an amendment to PolyOne’s code of regulations to allow the board of directors to amend the regulations to the extent permitted by law and ratified the appointment of Ernst & Young LLP as company’s independent registered public accounting firm for the fiscal year ending December 31, 2009.
