As per the merger deal, Constellation shareholders will get 0.930 shares of Exelon common stock in exchange for each share of Constellation common stock.

Upon completion of the merger, Exelon shareholders will own about 78% of the combined company and Constellation shareholders will own about 22% on a fully diluted basis.

The transaction is expected to close in early 2012, subject to all required regulatory approvals.
